These Terms of Service ("Terms") are a binding agreement between you ("Customer," "you") and Nodexi Agentics, LLC ("Nodexi," "we," "us") governing your access to and use of our website (nodexi.top) and your purchase of digital products and related services (collectively, the "Services").
Nodexi is a digital marketplace that supplies digital products for AI builders — API credits, prompt packs, skill packs, datasets, templates and developer tools. All products are delivered electronically; we do not ship physical goods. The website displays our catalog; product availability and pricing are confirmed at checkout or in a quotation.
For catalog items, a binding contract is formed when you complete checkout and your payment is confirmed. For custom packs, datasets, or team licenses, you submit an enquiry and we provide a quotation with scope, price and turnaround; a contract is formed when we confirm your order in writing (for example, by issuing an order confirmation or invoice). We reserve the right to decline or cancel any order, including for pricing errors, suspected fraud, or unavailability.
We take care to describe products accurately, but descriptions, samples and specifications are for reference and the underlying content or capabilities may change. API credits are subject to the availability and terms of the underlying model providers. Custom packs and datasets are produced to the specifications agreed in writing.
Digital products are delivered to your email after payment, as set out in our Delivery & Access Policy. Products are licensed, not sold outright: unless otherwise stated, a purchase grants a single-user license for your own or your organization's internal use. Redistribution, resale, or public sharing of files, keys, or credits is not permitted. Team and multi-seat licenses are available on request.
Prepaid API credits are a limited-purpose balance that can be redeemed only for Nodexi's own platform services. Credits have no cash value, are not redeemable for cash, are not transferable between customers or accounts, and are not a general-purpose payment instrument. Customers access our services through a Nodexi-issued API key on our own platform; they do not receive direct access to any third-party provider's account.
Returns, replacements, and refunds are governed by our Returns & Refund Policy, which forms part of these Terms.
If you create an account, you are responsible for keeping your credentials secure and for activity under your account. You agree not to use the Services unlawfully, to submit false information, to infringe others' rights, or to interfere with the operation or security of the website.
The website and its content — text, graphics, logos, and design — are owned by Nodexi or its licensors and are protected by intellectual property laws. You may not copy, reproduce, or use our content without permission, except as needed to browse the site and place orders.
Products are provided with the warranties (if any) stated in the applicable quotation or invoice. To the maximum extent permitted by law, the website and Services are provided "as is," and we disclaim all other warranties, express or implied, including merchantability and fitness for a particular purpose. You are responsible for ensuring products meet your requirements and applicable regulations in your market.
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, or consequential damages, or loss of profits, revenue, or goodwill. Our total liability arising out of or related to any order will not exceed the amount you paid for the products giving rise to the claim.
You agree to indemnify and hold harmless Nodexi and its officers, employees, and agents from claims, damages, and expenses arising out of your breach of these Terms, your misuse of the Services, or your resale or use of products in violation of applicable law.
We may update these Terms from time to time. We will post the updated Terms on this page with a new effective date. Your continued use of the Services after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Colorado for disputes not otherwise required to be resolved elsewhere by applicable law.
