These Terms of Service ("Terms") are a binding agreement between you ("Customer," "you") and Nodexi Agentics, LLC ("Nodexi," "we," "us") governing your access to and use of our website, unified API, developer tools, and related cloud services (collectively, the "Services").
To use most features of the Services you must create an account and provide accurate, complete information. You are responsible for safeguarding your account credentials and API keys, and for all activity that occurs under your account. You must promptly notify us of any unauthorized use. You must be at least 18 years old and capable of forming a binding contract to use the Services.
Nodexi provides a unified API and cloud-based infrastructure that allow you to integrate large language model and AI capabilities into your own applications. Subject to these Terms and your selected plan, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes and to build and operate your applications.
We may update, improve, or modify the Services over time. We may also impose usage limits, rate limits, or quotas consistent with your plan.
Your use of the Services must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to misuse the Services, interfere with their operation, attempt to gain unauthorized access, or use them in violation of applicable law or the rights of others.
The Services are offered on a subscription and usage-based model as described on our pricing page. By selecting a paid plan, you authorize us and our payment processor to charge the applicable subscription fees and usage charges to your payment method on a recurring basis until you cancel.
You retain all rights to the data and content you submit to the Services ("Customer Data"). You grant us a limited license to process Customer Data solely to provide, maintain, and improve the Services and as described in our Privacy Policy. You are responsible for the Customer Data you submit and for ensuring you have the rights and permissions necessary to submit it.
The Services, including all software, documentation, and related materials, are owned by Nodexi and its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to you, we reserve all rights, title, and interest in and to the Services. You may not copy, modify, reverse engineer, or create derivative works of the Services except as permitted by law.
The Services may rely on or interoperate with third-party services and model providers. We are not responsible for third-party services, and your use of them may be subject to separate terms. Availability of third-party services is not guaranteed.
The Services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that outputs generated through the Services will be accurate, complete, or suitable for any particular purpose. You are responsible for evaluating outputs before relying on them.
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our aggregate liability arising out of or related to these Terms or the Services will not exceed the amounts you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless Nodexi and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses arising out of your use of the Services, your Customer Data, or your violation of these Terms or applicable law.
These Terms remain in effect while you use the Services. You may stop using the Services and cancel your subscription at any time as described in our Refund & Cancellation Policy. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Services in a manner that poses a risk to us or others. Upon termination, your right to use the Services ends; sections that by their nature should survive will survive.
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting the updated Terms on this page with a new effective date or by notifying you. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in New Mexico for any dispute not subject to arbitration or otherwise required to be resolved elsewhere by applicable law.
